KGaA. This is a partnership limited by shares under German law, in which TKMS Management AG acts as the sole general partner with personal liability and manages the company’s operations. TKMS Management AG is wholly owned by thyssenkrupp AG. The governance structure combines entrepreneurial flexibility with oversight by the Supervisory Boards of TKMS AG & Co. KGaA and TKMS Management AG and ensures shareholder rights based on the principle of “one share, one vote" No non-voting preference shares or multiple-voting shares will be issued. The 2 key corporate bodies are the Supervisory Board of TKMS AG & Co. KGaA with 10 members (including 5 independent representatives) and the Supervisory Board of TKMS Management AG with 6 members.
